These Terms of Service ("Terms") govern your use of the nexifymarketing.com website and any services provided by Nexify Marketing ("we", "us", "our"), a marketing studio operating from 387 Westgate Rd, Newcastle upon Tyne NE4 6PA, United Kingdom. By using our website or engaging our services, you agree to these Terms.

1. Our Services

We provide brand identity, web development, paid media (Meta, Google, TikTok and LinkedIn Ads), and SEO services to businesses in Glasgow, Edinburgh, the North East UK, and beyond. The specific scope, deliverables, timeline and fees for any engagement are set out in a separate proposal, quote, or service agreement agreed with you before work begins. Where anything in an individual proposal conflicts with these Terms, the proposal takes precedence.

2. Enquiries & Bookings

Submitting our contact form, emailing us, or booking a consultation through our Calendly link does not itself create a binding contract for services. A service engagement begins only once we've both agreed a proposal, quote, or signed agreement covering scope and fees.

3. Fees & Payment

Fees, payment schedules and any deposit requirements are agreed on a per-project or retainer basis and confirmed in writing before work starts. Unless otherwise agreed, invoices are due within the timeframe stated on the invoice, and we reserve the right to pause work on overdue accounts.

4. No Guaranteed Results

Marketing, advertising and SEO performance depends on many factors outside our control, including platform algorithms, market conditions, budget, and competitor activity. While we apply industry best practice and data-driven strategy to every campaign, we do not and cannot guarantee specific results, rankings, return on ad spend, or revenue outcomes. Figures referenced in our case studies reflect actual results achieved for those specific clients and are not a guarantee of similar results for any other business.

5. Intellectual Property

Unless otherwise agreed in writing:

• Final deliverables (e.g. brand assets, website code, ad creative) become your property once paid for in full.
• We retain the right to showcase completed work in our own portfolio, case studies, and marketing materials, unless you request otherwise in writing.
• Our own pre-existing tools, templates, frameworks, and internal processes remain our intellectual property.
• The content, design and code of this website itself (excluding client-specific case study data, which belongs to the respective client) are owned by Nexify Marketing and may not be copied or reused without permission.

6. Confidentiality

We treat information shared with us about your business — including ad account access, analytics data, and business strategy — as confidential, and we expect the same in relation to any of our own proprietary methods shared with you during an engagement.

7. Third-Party Platforms

Our services often involve third-party platforms we don't control — such as Meta, Google, TikTok, LinkedIn, Shopify, or WordPress. We're not responsible for outages, policy changes, account suspensions, or price changes made by these platforms, though we'll work with you in good faith to resolve any impact on your campaigns.

8. Limitation of Liability

To the fullest extent permitted by law, Nexify Marketing's total liability for any claim arising from our services is limited to the fees paid by you for the specific service giving rise to the claim in the preceding three months. We are not liable for indirect, incidental, or consequential losses, including loss of profits or business opportunity.

9. Termination

Either party may terminate an ongoing engagement in line with the notice period set out in the relevant proposal or agreement. You remain responsible for fees for work completed, and ad spend committed, up to the date of termination.

10. Website Use

You may browse this website for personal or business informational purposes. You may not copy, scrape, or reproduce its content, design or code for commercial use without our written permission, and you may not use the site in any way that could damage, disable or impair it.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. The "effective date" above shows when they were last revised. Continued use of our website or services after an update constitutes acceptance of the revised Terms.
